End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and ScaleCapacity, Inc. ("ScaleCapacity," "we," "us," or "our") governing your use of the SpeechTranslate platform, including the web application, APIs, browser-based translation tools, admin console, and any related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not access or use the Service.

1. License Grant

Subject to the terms of this Agreement and payment of applicable fees, ScaleCapacity grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to sublicense, resell, or redistribute the Service.

2. Service Description

SpeechTranslate is a browser-based real-time speech translation platform that integrates with Amazon Connect for contact center voice translation. The Service includes:

• Real-time bidirectional voice translation across 66+ languages using Speech-to-Speech models (Amazon Nova Sonic, Google Gemini Live) and multi-provider STT+MT+TTS pipelines (AWS Transcribe, Azure Speech, Google Cloud Speech)
• AI Agent Assist powered by Amazon Bedrock Agents and Bedrock AgentCore with knowledge base retrieval and action groups
• ConnectIQ cross-call intelligence with automated QA scoring, pattern detection, and AI root cause analysis
• Bring Your Own (BYO) Amazon Connect instance integration with optional SAML 2.0 federation (Okta, Microsoft Entra ID)
• BYO AWS QuickSight embedded analytics dashboards and Generative Q&A
• BYO Bedrock AgentCore with MCP gateway integrations
• Admin console for tenant configuration, user management, RBAC, branding, credentials, and SSO group mapping

3. User Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials. If your organization uses SAML 2.0 identity federation (Okta or Microsoft Entra ID), your identity provider manages authentication. You remain responsible for the accuracy of your IdP group-to-role mappings configured in the SSO admin page.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other users' accounts or data
• Use the Service to process or store regulated health information (PHI) unless a separate Business Associate Agreement is in place
• Exceed the usage limits or rate limits configured for your tenant

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy and Data Processing Addendum. Audio streams are processed in real time and are not stored by ScaleCapacity unless call recording is explicitly enabled by your administrator. When BYO deployment is used, audio and transcripts remain in your AWS account.

6. Third-Party Services

The Service integrates with third-party cloud providers including Amazon Web Services (AWS), Microsoft Azure, and Google Cloud Platform. Your use of these services is subject to their respective terms of service. SpeechTranslate acts as an orchestrator and does not independently store your audio or translation data beyond the duration of the active session, except when call recording is enabled.

7. Intellectual Property

The Service, including all software, documentation, designs, and content, is the intellectual property of ScaleCapacity, Inc. and is protected by applicable copyright, trademark, and intellectual property laws. This Agreement does not grant you any ownership rights in the Service.

8. Fees and Payment

Usage fees are billed per your subscription plan. The current pricing is published on the Pricing page. ScaleCapacity reserves the right to change pricing with 30 days' notice. Usage beyond your plan limits may result in additional charges or service throttling as configured by your administrator.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SPEECHTRANSLATE IS A MACHINE TRANSLATION SERVICE AND DOES NOT GUARANTEE 100% TRANSLATION ACCURACY. THE SERVICE IS NOT A SUBSTITUTE FOR CERTIFIED HUMAN INTERPRETATION WHERE REQUIRED BY LAW.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALECAPACITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SCALECAPACITY'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

Either party may terminate this Agreement at any time with 30 days' written notice. ScaleCapacity may suspend or terminate your access immediately if you violate any terms of this Agreement. Upon termination, your license to use the Service ceases immediately. Data in your BYO AWS infrastructure remains under your control.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Los Angeles County, California.

13. Changes to This Agreement

ScaleCapacity reserves the right to modify this Agreement at any time. We will notify you of material changes by updating the "Last Updated" date below and, where appropriate, providing notice through the Service. Continued use of the Service after changes become effective constitutes acceptance of the updated terms.
